The best example is the acquisition and transfer of a listed company's equity and controlling interest dispute, sponsored by lawyer Liu Hui and lawyer Wang Yongjing, and participated in and successfully completed by lawyer Yuan Menglong. The successful transaction in this case ended the dispute over the controlling interest of the listed company, and the transaction was conducted between its largest shareholder and its second largest shareholder. At that time, the two sides had been engaged in a dispute over the control rights of listed companies for many years, and the bosses of the two sides lacked the most basic trust and could not directly interview, communicate and communicate. Under such circumstances, it is almost impossible to complete the transaction. As the representative of the transferor, we began to intervene in May 2019. After more than three months of repeated communication with the client and the transferee on commercial transactions, taxation, criminal and other issues, we finally reached the basic transaction plan in August 2019. In terms of the details of the transaction plan, the lawyers of both sides conducted repeated communication and revision of the text for 4 consecutive days and 4 nights before finally settled. Finally, the two parties signed more than 20 main transaction documents and various ancillary documents such as guarantees and guarantees. At the moment of the formal signing, the transferee's boss couldn't help but sigh that "so many transactions have been done, this is the first time to sign So many documents". However, when the persistence of the final harvest, I think all parties are happy.

Before independence, we only need to do things well and write the documents according to the boss's requirements, and everything will be fine. However, since I practiced independently, when I faced my clients independently and thought about their real needs, I found that the focus of their thinking was often not on the law, or not only on the law. This makes us have to constantly acquire non-legal professional knowledge, change our way of thinking, first understand and then master, and then refine, without limiting our eyes to the vision of laws and regulations.
